AFORESERVE.COM LIMITED- CSR POLICY
I. INTRODUCTION
Corporate Social Responsibility is strongly connected with the principles of sustainability;
an organization should make decisions based not only on financial factors, but also for the benefit and upliftment of society.
A CSR policy is framed to guide its strategic planning and provide a roadmap for its CSR initiatives, which is an integral part of
overall business policy and aligned with its business goals. Our CSR initiatives would focus on to create social, environmental and economic value to the society.
In alignment of Company’s philosophy and applicability of Company Law, The Board of Directors of Aforeserve.Com Limited at its meeting held on 22nd September,
2014 constituted a Corporate Social Responsibility (CSR) Committee to formulate and recommend to the Board a Corporate Social Responsibility Policy whereby the
interests of all stakeholders including investors, customers, employees, the community and the environment are reflected in the company's policies and actions.
II. OBJECTIVES
A. Contribution to the society at large by way of social and cultural development.
B. To identify with the public and foster goodwill towards the Company.
III. FOCUS AREAS
Aforeserve.Com Limited will target inclusive growth of all stakeholders with CSR projects which will cover following key areas:
1. Promoting education and create awareness for education and employment enhancing vocational skills especially for orthopedically
disabled and crippled and physically handicapped section of the Society.
2. Providing financial support to the educational institutions that are providing primary, special and vocational education for
orthopedically disabled and crippled and physically handicapped children and adults for development of their infrastructure and betterment of educational facilities.
IV. UNDERTAKING CSR ACTIVITIES
Aforeserve.Com Limited will undertake its CSR activities, approved by the CSR Committee or through such other entity/organization as approved by the CSR Committee.
V. LOCATION FOR CSR EFFORTS
The CSR Committee will decide on the locations for CSR activities.
VI. SOURCE OF FUND
For achieving its CSR objectives through implementation of meaningful & sustainable CSR projects or programs or activities,
Aforeserve.Com Limited shall allocate a minimum 2% of its average net profit during the block of preceding 3 (three) financial years as per financial statements.
This budget will be project driven and each project or program or activity is in line with the CSR strategy and policy.
VII. COMPOSITION OF CSR COMMITTEE
1. Mr. Soumitra Gupta-Chairperson & Whole-Time Director
2. Mr. Ramesh Bajaj- Whole-Time Director and CFO
3. Mr. Arunabha Das-Whole-Time Director
VIII. RESPONSIBILITIES OF CSR COMMITTEE
The responsibilities of CSR Committee are mentioned herein below:
1. Recommend the CSR expenditure to be incurred by the Board in accordance with CSR policy.
2. Regular monitoring of implementation of CSR policy of the company time to time.
IX. EXECUTION & MONITORING & REPORTING
The CSR Committee will develop a transparent monitor mechanism for implementation of the CSR projects or
programs or activities undertaken by the company and recommend modifications to the CSR policy as and when required to the Board.
The CSR Committee shall:
1. Acknowledge the areas, locations and organizations which are approved by the board for CSR expenditure.
2. Periodically appraise the Board on the status of the CSR plan.
3. Take note any unspent/unutilized CSR expenditure of a particular year, if any.
4. Review CSR activities or projects or programs on the basis of feedback given by benefited sections of society.
X. EFFECTIVE DATE
This policy is effective from 4th February, 2015 vide approval of Board of Directors of the Company in its meeting dated 4th February, 2015.
